Biography

Andrea’s practice centers on corporate finance and acquisitions. She advises emerging and established clients on private financings, venture and growth transactions, corporate entity formation and structuring, and mergers and acquisitions. She represents public and private companies and nonprofit tax-exempt organizations in a wide range of matters, including corporate governance and restructuring.

Andrea also serves as regular counsel to institutional equity investors participating in joint venture real estate development transactions.

Representative Matters

  • Venture capital and private financing transactions for various emerging companies in the technology and medical device sectors, including recent $15-$25 million financings and an $80 million Series A round in the spring of 2016.
  • Various private and public M&A transactions, including the recent $158 million sale of a local distributor.
  • Regular representation of nonprofit companies seeking guidance regarding compliance, governance, acquisitions and tax exemption.

Before Fox Rothschild

Before beginning her legal career, Andrea worked in higher education for several years as an Admissions Officer at Haverford College outside Philadelphia.

Prior to joining Fox, Andrea first worked as an associate at an Am Law 100 firm in Manhattan and then moved home to Minneapolis to join Oppenheimer Wolff & Donnelly LLP.

While in law school at NYU, Andrea served as articles editor for the New York University Journal of Law & Business and interned in NYU’s Office of General Counsel.

Beyond Fox Rothschild

Andrea is a performer and volunteer at the HUGE Improv Theater in Minneapolis and has also served as a coach for the Minneapolis Storm Youth Hockey.
