Pricing Programs and Counseling
Our team includes former in-house counsels to major international franchisors, former Assistant U.S. Attorneys, as well as former Department of Justice and Securities and Exchange Commission lawyers. We offer preventative audits and compliance programs and regularly counsel clients on antitrust risks and compliance in connection with potential transactions, business and distribution arrangements, pricing practices and other conduct. Our attorneys tailor customized presentations to clients’ sales forces on antitrust compliance at national sales meetings.
Mergers and Acquisitions
We represent buyers, sellers, targets and financial institutions involved in mergers, acquisitions and other transactions, providing strategic advice on structuring and negotiating the transaction to minimize the risk of an antitrust challenge. We assist with analyzing prospective target companies and, when necessary, litigate challenges to combinations.
Health Care Antitrust
Fox routinely handles a wide variety of strategic alliances, including mergers, acquisitions, reorganizations, joint ventures and other health care affiliations involving for-profit and nonprofit entities. In the context of these business combinations, our attorneys consult on antitrust issues such as joint ventures between insurers and providers, hospital/medical staff relations, mergers and exclusivity agreements, among other issues.
