  • Advised over 20 publicly traded REITs in connection with formation transactions, IPOs, secondary offerings of equity, debt securities and hybrid derivative instruments and public merger transactions, requiring more than 170 separate filings with the Securities and Exchange Commission, including the largest single paper filing in the Commission's history.
  • Advised Wealthstake Inc. in connection with the creation of one of the first REITs to be sold through a Direct Investment Online Sales Platform under Regulation A+.
  • Advised Boddie-Noell Enterprises in connection with a secondary equity offering in January 1998. Created Plain English Model Form S-11 for this filing at the request of the SEC.
  • Advised Boddie-Noell Enterprises on its merger with BNP Residential Properties, the first public partnership roll-up to clear SEC and California Securities Commission roll-up regulations.
  • Advised Highwoods Properties, Inc. on its merger with Forsyth Partners, Inc., the first UPREIT to UPREIT merger.
  • Advised Highwoods Properties, Inc. on its merger with Crocker Properties Trust, the first UPREIT to standard corporate REIT merger.
  • Advised Home Depot and United Parcel Services (UPS) in connection with creation of a private REIT structure to hold all company-owned real estate.
  • Advised numerous REITs in connection with acquisitions of other real estate companies and real estate portfolios in both share exchange transactions and cash transactions.
  • Advised the governor of North Carolina on the state's contested takeover of the North Carolina Railroad Company from its private shareholders.  Over 165 years old, the NCRR is one of the oldest continuously operating railroads in the United States, having been created in 1848 through a public-private venture between the state government and public citizens. Acted as principal legal advisor to the state, reporting directly to the governor, the attorney general and the state legislature.
  • Advised the mayor of Raleigh, North Carolina on various urban redevelopment projects and city financings.
  • Acted as bond counsel for the state of North Carolina on numerous state credit and revenue-backed bonds.
  • Acted as bond counsel in connection with financing the construction of the Catawba Nuclear Power Station, which is located in York County, South Carolina and jointly owned by the North Carolina Municipal Power Agency, the North Carolina Electric Membership Corporation, the Piedmont Municipal Power Agency and Duke Energy.
  • Advised the state of North Carolina and a consortium of banks led by Bank of America, to negotiate the relocation to Raleigh, North Carolina of the National Hockey League’s Hartford Whalers (now Carolina Hurricanes), and to structure the financing needed to build a state-of the-art 23,000-seat sports arena.
