Biography

Brian is co-chair of the REITs practice group. He represents public and private companies in a wide variety of corporate and securities matters, including initial public offerings, secondary public offerings, shelf registrations, private placements, SEC reporting obligations and stock exchange rules compliance. He also counsels clients with respect to corporate governance, Sarbanes-Oxley compliance, general disclosure issues, acquisitions and dispositions, and executive and equity-based compensation matters.

Brian has represented:

  • A NYSE-listed company in connection with a $316 million underwritten public offering of common stock.
  • An S&P 500 company in connection with the registration of $586 million in common stock offered by selling stockholders and a $174 million underwritten offering of common stock.
  • A NYSE-listed company in connection with an $842 million registered common stock offering by selling stockholders.
  • A WKSI issuer in connection with the filing of an automatic universal shelf registration statement with the SEC.
  • A NYSE-listed company in connection with a $308 million underwritten public offering of common stock and a $46 million registered common stock offering by selling stockholders.
  • A NYSE-listed company in connection with a $234 million underwritten public offering of common stock and a $197 million registered common stock offering by selling stockholders.

Before Fox Rothschild

Prior to joining Fox Rothschild, Brian was a partner in the Denver office of a national law firm and a partner in the Denver office of an international law firm.

While in law school, Brian was an editor of the Columbia Law Review and a Harlan Fiske Stone Scholar. Immediately after law school, Brian served as a judicial clerk for the Honorable William L. Garwood on the U.S. Court of Appeals for the Fifth Circuit.
