Richard S. Caputo led a program on “Don’t Get Left in the Dark: Common Errors and Issues Encountered by Nonprofit Organizations.”

This presentation discussed the following topics: common nonprofit governance issues, including a discussion on required bylaw provisions and the power to bind; necessary fundraising registrations, disclosures and filings under state and federal law; esoteric fundraising vehicles such as charitable trusts, private foundations, supporting organizations and related and unrelated businesses; risk management issues such as liability coverage, D&O coverage, due diligence and formation of subsidiary organizations, including a discussion on liability issues and unrelated business income tax issues; and requirements for obtaining tax-exempt status, including a discussion on the permitted and prohibited operations and activities of a nonprofit organization.
