The needs of international clients often straddle a multitude of practice areas. To meet those needs, Fox formed an interdisciplinary International Practice Group that provides our clients with comprehensive legal advice on their international matters, regardless of geographical location.
We provide a full range of legal services to U.S. and international clients doing business around the globe, including:
Cross-Border Commercial Transactions
Corporate law on an international scale is a web of private contractual arrangements and national laws. Fox attorneys are experienced in advising businesses on the breadth and extent of this complexity and the varied forms that foreign business operations assume, such as:
- inbound and outbound investments
- joint ventures
- distributor/agent relationships
- mergers and acquisitions
- international restructurings
- new technology exploitation
- intellectual property licensing
Fox also frequently serves as local counsel for international companies looking to establish subsidiaries in the United States.
International Insurance and Reinsurance
We provide representation to international insurers, reinsurers and offshore captives. For example, we represented a Canadian reinsurance company in a series of acquisitions and divestitures. We represented Korea’s largest non-life insurance company with respect to redomestication. We also represented Lloyds of London, a British insurance and reinsurance market, in hundreds of insurance disputes.
Bankruptcy Litigation and Financial Restructuring
The intricacies of cross-border bankruptcy proceedings demand the services of experienced counsel. We regularly represent debtors, unsecured creditors, financial institutions, equity holders, buyers and other parties in domestic and cross-border bankruptcy and insolvency restructuring.
Cross-Border Arbitration and Litigation
We defend client interests in international arenas and before administrative bodies throughout the world. We have a particular emphasis in international alternative dispute resolution and arbitration, including arbitration award confirmations, and provide mediation services in both pre-litigation and litigation settings. We also handle trade secrets and contract disputes. Read more about our International Arbitration matters.
Intellectual Property Portfolio Management
We help clients protect their intellectual assets on a global stage by providing strategic management of trademark portfolios for multinational corporations, technology startups and entertainment companies. We offer enforcement and management of copyright, trademark and patent rights and handle copyright and trademark infringement actions as well as licensing issues. We also counsel clients on freedom to operate matters.
We represent U.S. and international companies in the transfer of personnel, the employment of non-U.S. nationals and compliance with U.S. immigration laws, including I-9 compliance audits. We also assist clients in obtaining employment-based immigrant visas, including:
- Immigrant investors
- Immigrants with extraordinary ability in business, the arts or sciences
- Managers and executives of multinational businesses
- Outstanding professors and researchers
- Physicians and other immigrants with advanced degrees
- Immigrants with a bachelor’s degree or higher and prior work experience
We also assist clients in obtaining various non-immigrant visas, such as H-1B specialty workers, L-1 intra-company transfers, F-1 and M-1 students.
In every international business transaction, consideration must be given to the tax consequences likely to be encountered both in the country where the party undertaking the transaction is domiciled and the country where the transaction is undertaken. Failure to do so could potentially turn an otherwise-profitable transaction into a losing proposition. In the United States, international business transactions are taxed according to the Internal Revenue Code, Internal Revenue Regulations and a series of tax treaties negotiated on an ongoing and individual basis with various countries. Outside the United States, they are taxed according to respective tax laws and regulations and individually negotiated, country-specific tax treaties.
Our attorneys provide cross-border tax and business consulting, helping clients navigate the myriad and complex laws, and provide assistance with tax-related issues that arise in international transactions with the goal of minimizing transaction-related taxes.
Multinational Estate Planning
We represent U.S. clients owning property or having beneficiaries in other countries and non-residents who have family members or own assets in the United States in the handling of multinational estate and tax planning. With a focus on wealth planning, we provide sophisticated advice to help preserve wealth and to assist trustees and executors with the administration of trusts and decedent’s estates, helping them navigate the often complicated system of intestacy laws and providing advice regarding fiduciary responsibilities.
We assist clients with country-specific directives on hazardous material content and packaging and provide environmental liabilities counseling. We have represented, for example, a large U.S.-based electronics information technology business in several multibillion-dollar transactions, providing guidance on compliance with U.S. and international environmental laws and regulations, performing due diligence, and negotiating environmental representations, warranties and indemnification language.
