Fox Rothschild LLP is pleased to announce the establishment of a nationwide Private Equity Practice Group, representing private equity funds, institutional investors and portfolio companies in a range of transactions.
“This is a pivotal and continually growing practice area for us. We’ve been increasingly doing larger, more sophisticated and complex transactions in this area, so we wanted to cement our commitment to clients by formalizing the practice,” said Mark L. Morris, Fox’s Firmwide Managing Partner.
Co-chaired by Partners Ted D. Rosen and Phillip B. Martin, the group is comprised of a multidisciplinary team of firm attorneys throughout the United States who handle:
- fund formations
- platform establishments
- joint ventures
- sales and other exit strategies
Among the recent transactions the group has handled, the firm represented Big Ass Solutions, manufacturers of the high-profile brand Big Ass Fans, in a $500 million deal with Lindsay Goldberg, a private equity firm. The Fox team, led by Rosen and Daniel L. Farris, co-chair of the firm’s Technology Group, spearheaded negotiations on the deal.
“Our work on that deal emphasized the customized, full-service approach we can provide to clients in the private equity arena,” said Rosen. “The client utilized our deep bench of experience in M&A, technology, tax, real estate, intellectual property, employee benefits and antitrust law.”
“Clients also have access to our national teams with experience in litigation, regulatory, immigration and environmental matters to assist with transactions that touch upon those areas,” said Martin.
Rosen, who also serves as administrative partner for the firm’s New York Corporate and Public Companies practices, has more than 30 years of experience in corporate law, with an emphasis on private equity, M&A, venture capital and securities law. He counsels large established and emerging growth companies and private equity funds in mergers, management buyouts, recapitalizations, roll-ups and growth strategies, as well as in matters related to structuring, organization, financing, employment and compensation.
Martin represents both public and private clients in a wide variety of strategic transactions. He has handled numerous middle market acquisitions and divestitures as well as joint venture formations, and advises clients in corporate governance and other corporate matters.
