Michael serves as de facto general counsel and a trusted business advisor for numerous closely held and small businesses, coordinating all of their legal matters from formation and growth to maturity stages and exit strategies. This often involves resolving management and compensation questions and crafting creative solutions for a client's qualified benefits plan to enhance the principals' return on investment in the business. Michael has handled issues involving corporate governance; stock transfer and employment contracts; mergers and acquisitions; buying and selling businesses; joint ventures and strategic alliances; entity selection and restructuring; business separations; succession and business planning; and real estate acquisitions and leases.
Michael also represents physicians, medical group practices, dental practices, veterinarian offices and chiropractic clinics in corporate and transactional matters. His services include counsel on the choice and formation of an entity; overseeing the purchase and sale of practices; structuring and implementing mergers and joint ventures; medical practice buy-ins/pay-outs; contract negotiation and drafting; recruiting and retaining associates; design and drafting of employment and shareholders agreements; regulatory compliance relative to defense in certain regulatory matters; billing and reimbursement matters; and corporate governance and general corporate services.
Michael has worked closely with more than 100 medical practices and physicians, helping them anticipate issues and adjust to the changing health care marketplace. He has overseen the formation of single and multispecialty medical groups; the sale of practices to hospitals; the structuring and implementation of health care affiliations and joint ventures; and the sale and re-establishment of private practices.

Michael has presented to numerous medical groups on the various issues and challenges they face and speaks regularly to residents and fellows at Western Pennsylvania hospital residency programs on "Physician Employment Agreements and Related Issues: Joining an Existing Medical Practice or Hospital-Based Practice."
Michael discusses why it is critical for physicians to fully understand the terms of their employment agreements before they sign. He addresses such topics as termination provisions, compensation, benefits, location and work assignment, restrictive covenants and co-ownership, among other issues.
