Fox Rothschild’s Los Angeles Office’s Corporate and Securities Lawyers Led Team for Fidelity National Financial’s Public Company Spinoff

October 7, 2015 – Press Releases

The Los Angeles office of the national law firm of Fox Rothschild LLP announced that its public companies team, led by Los-Angeles based partner William Mark Levinson, represented Fidelity National Financial Ventures (NYSE: FNFV) on the spinoff of its J. Alexander’s Holdings, Inc. (NYSE: JAX) subsidiary in a highly valued transaction. The newly spun-off public company is now listed on The New York Stock Exchange.

JAX owns and operates three complementary upscale dining restaurant concepts throughout the United States that trade under the names “J. Alexander’s,” “Redlands Grill” and “Stoney River Steakhouse and Grill.”

“With a nationwide team of experienced and sophisticated corporate attorneys, we know how to get things done,” said Jeffrey H. Nicholas, chair of the firm’s national Corporate Department.

Darrell D. Miller, managing partner of the firm’s two Los Angeles offices, noted, “This transaction demonstrates a paradigm shift whereby major companies in California no longer specifically seek Wall Street law firms to handle complex public company transactions. We appreciate Mark’s leadership on this transaction. His team achieved the client’s sought-after result on time and at a competitive cost.”

The Fox Rothschild multi-office team for this transaction included Zev M. Bomrind, counsel in the firm’s New York office (M&A and Public Companies); Vincent A. Vietti, a partner in the firm’s Princeton office and co-chair of Fox’s Public Companies Practice Group (M&A and Public Companies); Stephen T. Weiss, a partner in the firm’s Philadelphia office (Corporate Tax); and Sujata P. Wiese, an associate in the firm’s Los Angeles office (Public Companies). Lawyers from a number of other firm offices were also involved in the transaction.
