Fox Rothschild Grows Emerging Companies Practice With High-Profile Group, Led by Attorneys Randolph Adler and Michael Chung

Adding depth to the firm’s national Emerging Companies and Venture Capital practice, Fox Rothschild LLP is pleased to welcome Randolph K. Adler, Jr. and Michael H. Chung as partners in the firm’s New York office. Adler will serve as the national Co-Chair of Emerging Companies and Venture Capital. The prominent pair will be joined by members of their former Dentons team, including several associates.

Adler is the former co-chair of the startup program at Dentons, and has become a widely regarded leader in the New York technology space. He represents companies in every stage of development, with a particular focus on startups, emerging growth companies and small and mid-cap companies. He also counsels founders, executives, boards of directors, family offices and venture and private equity principals on a wide range of issues, including business strategy, capital raises, board governance, general corporate matters, intellectual property protection, business disputes and strategic transactions.

Adler is a frequent speaker and panelist at various global technology-focused events. He is on the Board of Directors of All Star Code, a nonprofit that equips young men of color with the skills and networks they need to create new futures through technology. He also currently teaches “Transactional Skills for Startups” at Brooklyn Law School. He earned his J.D. from St. John’s University Law School in 2006 and his B.A. from the University of Richmond in 2002.

Chung serves as outside general counsel to entrepreneurs, startups, venture capital-backed and emerging growth companies, as well as investors and funds. He advises clients in a wide range of industries, including SaaS, fintech, digital media, security, e-commerce, fashion, hospitality, big data, social media, health, consumer products and private equity. He has successfully represented numerous New York and California based companies in debt, seed and later stage financings and exits.

In his role as outside GC, Chung advises on internal and external business transactions and strategy; corporate governance, intellectual property development, protection and commercialization; M&A; sales and distribution agreements; software and technology licensing; and compensation and exit strategies. He earned his J.D. from Brooklyn Law School in 2006 and his B.A. from Tufts University in 2001.

Prior to joining Fox, Adler and Chung were partners in the New York office of Dentons. Previously, the duo co-founded RK Adler LLP, a New York boutique law firm for technology startups, venture-backed businesses and small-to-mid-cap emerging growth companies, which was acquired by Dentons in 2015.
