Fox Rothschild Helps Met-Pro To Close $210 Mil. Deal

The Harleysville, PA-based Met-Pro Corporation was recently acquired by Cincinnati-based CECO Environmental Corporation for about $210 million. Jeffrey H. Nicholas represented Met-Pro. Nicholas has worked with the company since he was a young attorney in New York City and eventually became its outside general counsel and a member of its board.

Nicholas noted that CECO and Met-Pro have been aware of each other over the years, but were never in direct competition. CECO took interest in Met-Pro around 2010.

“We wanted to get a fair price,” said Nicholas. “There were no problems in the company that compelled us to sell. We were able to sit back and say, ‘Look, we want to get our price and if we don’t, we’re comfortable with continuing with this very fine company.’ It was not a stress situation where we were obliged to sell.”

Other Fox corporate attorneys - Vincent A. Vietti, Lauren W. Taylor and Alexander J. Tablin-Wolf - worked closely with Nicholas on the transaction.

According to Nicholas, another six or seven Fox Rothschild tax, real estate and litigation attorneys also worked on several aspects of the deal.
