Increased public scrutiny and governmental regulations and changes have created a complex environment for companies – both public and private, established and startup – as it relates to compensation for executives. At Fox Rothschild, our attorneys continually monitor new developments that emerge from the Securities and Exchange Commission, Internal Revenue Service and other governmental agencies and routinely counsel clients on successfully navigating this changing landscape, offering practical solutions to often complicated situations.
We represent both domestic and international public and private companies at all stages of growth as well as private equity firms, hedge funds and nonprofit organizations. As part of a national full-service law firm providing comprehensive representation, we frequently collaborate with our colleagues who are well-versed in such areas as corporate, securities, labor and employment, tax, health care and intellectual property that may arise in connection with executive compensation matters.
Fox Rothschild attorneys also represent compensation committees of the boards of directors of publicly traded corporations related to their duties involving executive compensation programs, policies and agreements. Our role is to supplement a committee’s relationship with general corporate counsel and compensation consultants, and in our capacity as independent counsel to the committee, we are positioned to help design and sign off on state-of-the-art incentive compensation programs and policies. We provide independent, substantive input on key issues and serve as an additional “pair of eyes” that can offer synergies and help further develop new compensation-related ideas and concepts.
