In practice for more than 35 years, Rick serves as a steadfast advocate for privately held and, often, family owned businesses and their entrepreneurial owners, guiding them through their most pressing business and corporate transactions. He is also well-versed in estate planning and trust administration issues, including business succession planning – a matter that affects nearly all family and other privately held enterprises. As part of Fairleigh Dickinson University Silberman College of Business and the Rothman Institute of Entrepreneurship’s New Jersey Family Business Awards, Rick played a vital role in the due diligence process, interviewing several of the family business applicants. He is also an active member of the Family Firm Institute, the most influential global network of thought-leaders in the field of family enterprise.

In the realm of real estate law, Rick has deep and varied experience handling all aspects of commercial and residential real estate transactions, as well as real estate acquisitions, development and financing. He has represented sponsors and building owners in connection with all phases of the process of converting residential and commercial properties to condominium status, including property acquisition and financing, regulatory compliance including the preparation of the offering prospectus and related documents and negotiation of same to approval, counsel and advice relating to tenant issues as well as representation in connection with the ultimate sale of condominium units. Rick also handles commercial leasing for office and industrial properties.

Representative Matters

  • Represented the principals of E.E. Cruz in the sale of its construction company to Flatiron/Turner Construction, a leading international construction concern, and continued representation of the successor entity;
  • Represented Roseland Properties Company from its inception as Starebare Partners, LP and Starebare II Partners, LP in their acquisition of asset portfolios valued at $200 million from a national bank; and
  • Represented G-H-G Realty Company, LLC in connection with two financings totaling $55 million of a Manhattan high-rise office building.

Beyond Fox Rothschild

Rick was recently appointed to the District Fee Arbitration Committee, a working group which focuses on resolving, through binding arbitration, disputes over attorney fees. Each member has been directly appointed by the Supreme Court of New Jersey to serve without compensation.

Additionally, he is a regular speaker for the National Business Institute on subjects of interest in the areas of corporate and real estate law.
