Biography

Joe is a highly experienced transactional attorney who advises clients on tax planning, entity formation and restructuring, succession planning, executive compensation (including equity and equity-like arrangements), securities issues, regulatory compliance and mergers and acquisitions.

He leverages in-depth knowledge acquired over more than 45 years of legal work to counsel closely held businesses, “S” and “C” corporations, partnerships, limited liability companies, nonprofits and family offices on a broad range of matters including formation, operations, succession planning and exits, as well as deferred and executive compensation such as Restricted Stock Units, options, Stock Appreciation Rights and “profits interests.”

In his M&A practice, Joe helps clients negotiate deals that advance their business objectives, maximize return and minimize state and federal tax exposure, providing nuanced advice on rollover of equity in addition to tax considerations associated with Sections 208G, 338(h)(10)/336(e), 368 and 409A of the U.S. Internal Revenue Code.

He also represents issuers and investors in all aspects of private capital raises, including advising clients on the tax implications of qualified business stock under Section 1202 and the full spectrum of fund management and securities compliance issues.

Joe advises individuals and businesses on cross-border tax matters, such as inbound and outbound tax planning for businesses that are looking to expand operations internationally and planning for individuals who are looking to expatriate from, or immigrate to, the United States.

Joe served as a chair of the Partnerships and Unincorporated Business Organizations Committee of the Business Law Section of the California State Bar, and had a role in drafting California’s Revised Limited Partnership Act and its Limited Liability Company Act.

Joe is a founding partner of Greene Radovsky Maloney Share & Hennigh LLP, which combined with Fox Rothschild in 2021. He is a Vietnam veteran, serving as a first lieutenant and captain in the Finance Corps attached to the U.S. Army Republic of Vietnam headquarters in Long Binh.
