Steve serves as co-chair of the firm’s Public Companies Practice. He advises middle-market public and private companies in a variety of transactional and corporate finance matters. He is an experienced securities lawyer who represents public companies in a variety of matters, including initial and follow-on public offerings, analysis of corporate governance practices and 1934 Act reporting and compliance. Steve has expanded his practice to include an emphasis on business combinations (M&A), corporate finance transactions and venture financing, primarily for middle-market investment funds and public and private companies.

Steve’s experience includes 33 Act and 34 Act representations of small and mid-cap public companies in public and private financing (including IPOs, private placements, PIPEs and venture financing), traditional SEC reporting and proxy work. He has also served as primary counsel for public companies engaged in public and exempt offerings, as well as for hedge and private equity funds implementing acquisition and portfolio investment strategies.

With an accounting and tax background, Steve has extensive experience advising public and private companies on acquisition structuring and related due diligence matters. In addition to his traditional knowledge in the SEC and corporate finance fields, Steve’s background within large law firms, as outside general counsel to public companies and as an officer of a public company, provides him with an enhanced perspective on the problem-solving aspects required to be a true business advisor to mid-market business clients and corporations.

Before Fox Rothschild

Before joining the firm, Steve spent seven years as general counsel of two publicly held companies. Most recently, as the general counsel and interim CEO of a publicly held oil and gas company, Steve presided over the winding down of a series of oil and gas drilling projects and the successful restructuring of over $40 million of secured debt.

Before that, Steve was Senior Vice President, General Counsel and Secretary of Stonepath Group, Inc., a global, non-asset based provider of third party logistics services. At Stonepath, he helped transition the company from a venture investor in early stage technology businesses to a global logistics company with revenues over $500 million and assisted in the acquisition of over 20 domestic and international logistics companies in the United States, Asia, and South America. Previous to his tenure as general counsel, Steve was a partner in the Corporate Finance Group of Buchanan Ingersoll.
