Biography

Dharvi is a member of the firm’s Corporate Department and is a corporate and franchise adviser to clients, including emerging companies and entrepreneurs, handling business and financial transactions such as venture capital and angel financing, mergers and acquisitions, structured finance, securities and private placements, as well as franchise regulatory matters and franchise agreements. She represents emerging growth companies in the fields of software, pharma, biotech and commercial space on venture capital financings and M&A.

Corporate, Emerging Companies & Venture Capital
She guides founders and emerging companies from formation through exit, including corporate governance, day‑to‑day maintenance and corporate responsibility, cap table strategy, and compliance. She structures and negotiates financing transactions across the lifecycle: founder and friends-and-family rounds, promissory notes, SAFEs, convertible notes, priced equity rounds (Seed, Series A and later), and private placements. She advises on mergers, acquisitions and reorganizations for buyers, sellers and investors across deal sizes, including asset and stock purchases, F‑reorganizations, rollover equity and complex purchase price mechanics. She has developed niche experience in Delaware Public Benefit Corporations (PBCs), including formations, conversions and ongoing governance.

Franchising & Distribution
She also has significant experience helping franchisors navigate the intricate process of developing franchise, distribution and licensing programs. She works with a diverse array of franchise companies, from emerging brands to well-established ones, across a variety of industries including hospitality, restaurants, fitness, health and wellness and service-based concepts.

Dharvi guides the drafting of franchise disclosure documents, and advises clients on regulatory and compliance issues, including securing registrations and exemptions from applicable franchise and business opportunity laws in the United States and abroad.

As an outside legal franchise counsel, Dharvi supports franchise system clients with a variety of franchise relationship matters, including franchisee defaults, terminations, and transfers. She also regularly assists non-U.S. based franchisors in expanding into the U.S. market through unit franchising, area representative, regional developer and master franchise models.

Before Fox Rothschild

Prior to joining Fox Rothschild, Dharvi was a law clerk at a boutique firm in Pennsylvania. She previously served as a legal intern for Dickinson College's Office of General Counsel, a law clerk for Pennsylvania State University's Office of the Vice President and General Counsel, and a legal intern for the nonprofit Compass Immigration Legal Services.

While attending Pennsylvania State University Dickinson School of Law, Dharvi earned the Montgomery Bar Association Robert E. Slota, Jr. Summer 1L Diversity Program Scholarship and a Certification in Corporate Compliance. She also volunteered on campus as a Law Lion Ambassador and as treasurer of the Asian Pacific American Law Student Association.
