Uncertainties in the global economy will continue to create opportunities for investors and businesses to engage in distressed M&A as a viable option to avoid bankruptcy. However, distressed M&A is not without risk and requires careful planning. The panel will discuss how the approach for due diligence, valuation difficulties, adjustment mechanism, warranty and indemnity protection and deal structures may vary in distressed M&A transactions due to the circumstances and how the parties may need additional strategies to mitigate the identified risks and challenges for the purchaser.
