Synthetic equity such as stock appreciation rights and phantom stock is often a part of executive compensation in ESOP companies. This session will explore the design, tax, appraisal and other issues for these kinds of plans.

  1. Understanding the different types of synthetic equity.
  2. Understanding how synthetic equity is implemented in an ESOP transaction.
  3. Understanding lender consideration of synthetic equity and a view of a transaction case study that conveys how synthetic equity was used.
