Biography
Peter is a highly experienced trial lawyer who represents clients in high-stakes change-of-control, contract, breach of fiduciary duty, corporate, and trusts and estates litigation.
He handles cases in state and federal court, at trial and on appeal, as well as in arbitration and mediation. Many of his matters involve complex questions of Delaware law involving business transactions, corporate governance disputes and fiduciary responsibility. Peter's clients include:

Representative Matters
- Obtained post-trial ruling in favor of trust beneficiaries awarding damages of $96.9 million, plus interest, one of the largest private trust judgments ever.
- Achieved the unprecedented result of enjoining the annual meeting of a Delaware corporation pending supplemental disclosures relevant to the election of directors.
- Successfully represented client in proxy contest after ISS switched its recommendation based, in part, on disclosures obtained through the litigation.
- Effectively ended “proxy put” litigation in Delaware by successfully arguing in the Court of Chancery and the Delaware Supreme Court in that any fee award in such litigation should be based on quantum meruit.
- Developed damages methodology and obtained post-trial judgment for $698 million, plus interest, in class action litigation.
- Successfully dissolved a Delaware LLC as a sanction for what the Court of Chancery found to be “deplorable litigation conduct.”
- Obtained dismissal of counterclaims and successfully enforced settlement agreement regarding disposition of trust assets.
- Defeated expedition of control dispute under Section 18-110 of the LLC Act and negotiated settlement based on contractual rights overlooked by prior counsel.
- Successfully briefed and argued appraisal standing issue of first impression with implications for all Delaware “appraisal arbitrage” actions.
- Served as counsel to the court-appointed receiver in a securities fraud Ponzi scheme case in the Eastern District of Pennsylvania.
