Biography
Jim is a strategic advisor on a range of corporate, securities and pass-through entity issues, with particular experience representing issuers in private equity and debt financings, corporate governance, and mergers and acquisitions.
Businesses and industry players rely on his counsel for a range of complex matters surrounding:

- Real estate investment & syndication
Jim also has a notable background assisting with shaping California and national business law. He participated in the drafting of California’s LLC and partnership statutes and the Uniform Partnership Act (RUPA) and has chaired or co‑chaired the LLC & Partnerships, Corporations and Legal Opinions Committees of the California Bar Association’s Business Law Section.
Jim is the Co-Author of two California Rutter Practice Guides, on Corporations and Pass-Through Entities, and is the long-time editor of In Our Opinion ‒ the quarterly newsletter of the Legal Opinions Committee of the American Bar Association’s Business Law Section. Jim has served as an expert consultant and witness on corporate governance and pass-through entities.
