Built to Last, Structured to Exit: Organizing and Operating North Carolina Entities With the End in Mind
This session takes a lifecycle approach to organizing and operating LLCs and corporations in North Carolina, beginning with foundational decisions — such as choice of jurisdiction, capital and ownership structure, charter provisions, and operating or shareholders’ agreements — and tracing their downstream consequences through years of operation and, ultimately, to a liquidity event, if that is the goal. Beyond the mechanics of organizational meetings, ongoing filings, corporate housekeeping, and governance compliance, examines how thoughtful structuring at formation—including well-drafted shareholder and operating agreements, transfer restrictions, and flexible organizational provisions — can meaningfully reduce friction when the time comes for a sale, merger, or recapitalization.
