A Fox Rothschild LLP transaction team led by Tyler M. Smith, Andrew D. Santana and Joseph N. Petrone represented The Paragon Alliance Group, LLC in the sale of all of its membership interests to U.S. Retirement Partners, Inc.

Paragon offers third-party administrative services to companies’ various retirement employee benefits plans. It was acquired by USRP to continue Paragon’s and USRP’s growth by integrating services in a strategic manner.  Fox’s group was engaged by Paragon at the suggestion of Paragon’s long-term CPA firm, and despite being engaged only three weeks before the planned closing date, the Fox team worked diligently with Paragon and its other advisers to close the transaction timely.

The aggregate deal consideration was undisclosed but was composed of cash and rollover equity, with additional consideration available upon satisfaction of certain financial metrics.
