Biography
Nicholas assists clients with a wide range of real estate matters.
He has particular experience representing lenders in commercial real estate matters, including preparing loan agreements, security instruments, guaranties, and construction agreements; multistate portfolio loans; completing foreclosure actions; Collateralized Loan Obligations and similar complex structured finance transactions; negotiating disputes with title underwriters, and other construction-related contract and financing disputes.
Nicholas’s practice also includes advising private equity funds and other capital sources in establishing and operating land banking platforms — a growing segment of residential real estate development. Nicholas assists capital providers in acquiring and developing land into entitled build-ready lots which a home builder has been granted the option to purchase on a scheduled basis through structured option agreements and construction agreements.
Before Fox Rothschild
Prior to joining Fox Rothschild, Nicholas was assistant vice president and associate corporate counsel for U.S. Bank in the Corporate Trust division, where he also worked with the law division's Diversity, Equity and Inclusion Council and Corporate Fellowship program.
While earning his law degree, Nicholas worked as a senior law clerk for a regional construction law firm, held legal externships at Target Corporation and Regis Corporation, and was a research assistant. Additionally, he served as treasurer of University of Minnesota Law School’s OutLaw student association, as a student representative on the school's Law Council, and as a student mentor under the school’s Advocacy in Student Well-Being program.
