Biography
Abby is a corporate and commercial real estate lawyer who concentrates her practice on guiding clients through mergers and acquisitions, private equity transactions, and complex financing arrangements. With more than 15 years of experience counseling businesses on deal structuring, due diligence, and transaction management, Abby brings a practical, results-oriented approach to every engagement.
On the corporate side, Abby regularly handles entity formation and governance matters for LLCs, partnerships, and corporations, and she drafts and negotiates shareholder agreements, operating agreements, and a wide range of commercial contracts.
Her commercial real estate practice encompasses acquisition and disposition transactions, mortgage and mezzanine financing, construction lending, and leasehold financing throughout the New Jersey and New York region. Abby is known for her ability to negotiate and document multifaceted deals and to keep closings on track in fast-paced environments.
Representative Matters
- Served as lead counsel on the sales of multiple service-industry businesses located throughout the country to private equity platforms, including drafting and negotiation of purchase agreements, due diligence, preparation of disclosure schedules, and all aspects of closing management.
- Represented a foreign conglomerate in the acquisition of a domestic manufacturing company and industrial plant operator, including deal structuring, business and real property due diligence, entity formation, corporate reorganization, and resolution of title and environmental issues.
- Counseled borrowers in the acquisition, financing, and refinancing of several multi-family residential properties in New Jersey, including drafting purchase agreements, negotiating mortgage loan financing, and entity formation.
- Represented borrowers in mortgage, mezzanine, and asset-based lending transactions, including CMBS loans.

Prior to joining us, Abby was of Counsel in the Roseland, NJ office of a regional law firm. Before that, she was an associate and later counsel at a national law firm focusing on construction law.
