We counsel lenders in a range of financing transactions, with traditional or unusual collateral representing a significant component of our practice. We are experienced in both conventional and complex, syndicated, domestic and international secured and unsecured transactions. We draft the necessary documents and advise on the legal and business aspects of such transactions. We assist in:

• Asset and stock acquisition financings
• Private equity investments
• Real estate acquisitions and development
• Construction loans
• Trade finance
• Asset-based lending (including equipment, inventory and receivables financing)
• General working capital finance

Borrowers

We represent clients in their borrowings, which entails:

• Thoughtful and often substantial due diligence;
• Negotiation of the complex underlying documentation with financial institutions; and
• Preparation and delivery of complex legal opinions.

Lending requires sensitivity to issues involving the Uniform Commercial Code and creditors’ rights issues under the Bankruptcy Code. Because Fox has depth and experience in states where entities are domiciled (for example, Delaware), our attorneys serve as local counsel for out-of-state lenders in preparing documents and providing legal opinions on matters of local law.
