Biography
Jonathan handles a broad spectrum of complex corporate transactions, including contract management and equity financing, and mergers and acquisitions in multiple sectors. He regularly serves as outside counsel to companies, offering creative solutions to complex corporate governance issues and day-to-day legal matters such as stock issuances, executive compensation and commercial transactions, including SaaS agreements and independent contractor agreements.
Jonathan works with the firm’s Health Law Group, advising health care businesses on mergers, acquisitions, transactions and forming and maintaining professional corporations in California.
Additionally, he works with the firm’s Cannabis Law Practice Group, assisting cannabis businesses with underlying corporate issues in governance and transactions.
Representative Matters
Represented Purple Wave, Inc., a heavy equipment online auction site, in its merger with Copart, Inc., a global leader in online auto auctions.
Represented Reservoir Health, a mental health care provider, in its sale to PAX Health, a comprehensive behavioral health company.
Represented Twiage, a health technology company that streamlines pre-hospital communication and care coordination among EMS, hospitals and other health care providers, in its sale to strategic acquirer TigerConnect, the industry’s leading clinical collaboration platform.
Served as legal advisor to Adfire Health, a health care professionals (HCP) data and digital engagement company, in its acquisition by Health Union, the recognized leader in condition-specific online health communities and patient engagement.
- Served as U.S. corporate counsel to Trulieve Cannabis Corporation in its $2.1 billion acquisition of Harvest Health & Recreation, creating the most profitable multistate cannabis operator in the United States.
- Represented a U.S. and UK startup focused on deploying computer vision software in airports and transportation hubs in its sale to an Australian-based publicly traded company focused on providing physical venues with cloud-based analytics and marketing software.
- Served as counsel to a merger-of-equals with a combined enterprise value in the hundreds of millions of dollars, to create an industry leading medical group serving greater New York.
Before Fox Rothschild
During law school, Jonathan worked as a summer associate at a boutique law firm in Portland, Oregon. He also served as a legal intern at the Los Angeles City Attorney’s Office and a law firm in Los Angeles.
Jonathan was awarded the Harry C. Sigman Scholarship at UCLA School of Law. He founded and served as the president of the Cannabis Law Association and was an executive board member of the Jewish Law Students Association.
Prior to attending law school, Jonathan obtained his early childhood education credentials and worked as a preschool teacher in Los Angeles for four years.
Beyond Fox Rothschild
Jonathan is a member of Hotshot's AI Advisory Board, which helps further legal education on the use of generative artificial intelligence (AI). He is active at Beth Jacob Congregation, where he serves on the board of directors and youth and security committees. Prior to joining the board of directors, Jonathan served as the assistant director of youth programs, where he supervised and trained counselors in age-appropriate childcare practices and organized events and activities.
