Biography
Kwabena advises clients on tax planning and structuring across a wide range of domestic and cross-border transactions.
He regularly counsels private equity firms and clients in a broad range of industries on the tax aspects of mergers, acquisitions, recapitalizations, reorganizations and joint ventures. His work includes advising fund sponsors on the formation and structuring of private investment funds, addressing considerations for both U.S., non-U.S. and tax-exempt investors — including issues related to effectively connected income, unrelated business taxable income, and carried interest.
Kwabena also counsels clients on the tax aspects of partnership and joint venture arrangements, including waterfall distribution mechanics, profits interests, capital account maintenance and allocation methodologies.
His transactional practice focuses on tax structuring across a range of taxable, tax-deferred and tax-free transactions. He also has considerable experience structuring transactions in the healthcare industry.
Before Fox Rothschild
Prior to joining the firm, Kwabena was a tax associate in the Washington, DC office of a global law firm. He has also practiced as a tax associate at second global law firm and as an internal auditor at a global print and commercial chemicals company, leading compliance and due diligence reviews in connection with mergers and acquisitions.
Beyond Fox Rothschild
Kwabena is committed to community service and has volunteered with legal clinics offering advice to small business owners and entrepreneurs with limited financial resources. He has also represented a minor child in a Special Immigrant Juvenile Status proceeding, including successfully obtaining a predicate order in a case of first impression before the Virginia Juvenile and Domestic Relations Court.
