Fox Rothschild Welcomes Tax Attorney Kwabena Yeboah in Washington, DC
Fox Rothschild welcomes Kwabena Yeboah as a partner in the firm’s Taxation & Wealth Planning Department in Washington, DC.
“Kwabena brings deep technical tax experience and a strong understanding of complex transactional structures that are critical to our clients’ success,” said Doug Hibshman, Fox’s Washington, DC Office Managing Partner. “His work with private equity sponsors and his background in fund formation and cross-border transactions will be a valuable addition to our national tax platform.”
Yeboah advises clients on sophisticated tax planning and structuring matters across a broad range of domestic and cross-border transactions. He regularly counsels private equity firms and clients across a wide range of industries on the tax aspects of mergers, acquisitions, recapitalizations, reorganizations and joint ventures. He also advises fund sponsors on the formation and structuring of private investment funds, including considerations for U.S., non-U.S. and tax-exempt investors, with experience addressing effectively connected income, unrelated business taxable income and carried interest issues.
His practice also includes advising clients on partnership and joint venture arrangements, including waterfall distribution mechanics, profits interests, capital account maintenance and allocation methodologies. Yeboah’s transactional work spans taxable, tax-deferred and tax-free transactions, with notable experience in structuring transactions in the healthcare industry.
Yeboah earned his LL.M. from Georgetown University Law Center, his J.D. from American University, Washington College of Law and his B.A. from Washington University in St. Louis.
Prior to joining Fox, Yeboah was an attorney with McDermott Will & Schulte.
