Biography

Thomas is a highly experienced, results-driven real estate lawyer who helps clients and their business partners achieve their goals and generate revenue.

He focuses his practice on commercial real estate matters including formation, acquisition, sale, leasing, marketing and/or regulatory compliance. Business-oriented and insightful, he has handled numerous transactions involving commercial, multifamily, retail, industrial, hotel and resort properties, and management companies, from nearly every angle. Thomas' clients include buyers, sellers, lenders, borrowers, originators, developers and operators.

Thomas frequently represents and advises public and private REITs on their formation and compliance issues, as well as acquisitions, dispositions and financings. On behalf of borrowers and lenders, including originators and sellers of commercial mortgage-backed securities (CMBS), Thomas manages lending, finance and workout transactions. 

He also assists clients with:

  • Private offerings of debt and equities.
  • Securitizations, receivable sale and hypothecation transactions.
  • Franchise creation, operation and compliance.
  • Community association law on behalf of associations and developers.

Representative Matters

  • Represented a resort operator in a more than $2 billion acquisition.
  • Originated strategy and plan for a resort company to reestablish a timeshare ownership resort with more than 20,000 unites on Las Vegas real estate owned by another hotel company.
  • Represented a real estate company in the origination and funding of multiple CMBS loan transactions, which were included in an approximately $785 million securitization.
  • Counseled a resort developer in the sale of a $30 million resort and other assets.
  •  Advised a Las Vegas resort developer in the sale of real property intended for a redevelopment project located on the Vegas strip.
  • Advised a resort developer in its acquisition of new resort homes to add to a club, involving a $200 million credit facility, negotiation of the purchase and sale agreement, review of due diligence, review of loan documents and preparation of all corporate work relative to the transaction.
  • Represented a resort developer in connection with a $100 million hypothecation loan transaction involving receivable loans, which was securitized.
  • Represented a resort operator in a more than $2 billion acquisition.
