Biography

Co-Chair of the Taxation & Wealth Planning Department and Managing Partner of the Las Vegas office, Greg is a transactional attorney whose practice centers on sophisticated tax strategies designed to maximize the return on business and real estate deals. He advises on tax planning, entity formation and restructuring, succession planning, and mergers and acquisitions.

He counsels closely held businesses, “S” and “C” corporations, partnerships, limited liability companies, and nonprofits on a broad range of matters including formation, operations, succession planning and exits.

Greg’s clients span a wide range of industries, including:

Greg also has deep experience providing guidance on executive compensation – including equity and equity-like arrangements – as well as deferred and executive compensation such as Restricted Stock Units, options, Stock Appreciation Rights and “profits interests.”

As a member of the firm’s Mergers & Acquisitions practice group, Greg counsels clients to negotiate deals that maximize return and minimize state and federal tax exposure, providing nuanced advice on rollover of equity in addition to tax considerations associated with Sections 280G, 338(h)(10)/336(e), 368 and 409A of the U.S. Internal Revenue Code.

He also represents issuers and investors in all aspects of private capital raises, including advising clients on the tax implications of qualified business stock under Section 1202 of the U.S. Internal Revenue Code.

Greg also represents property owners, construction companies, and developers, providing tax planning for real estate transactions, including tax-free exchanges pursuant to Section 1031 of the U.S. Internal Revenue Code and California property tax matters.
