Biography

Henry practices primarily in the areas of mergers and acquisitions, corporate and business law, and corporate finance.

A large portion of his practice is devoted to commercial transactions such as business acquisitions and sales, mergers, joint ventures, corporate reorganizations and private offerings of securities. Henry has experience representing a wide range of buyers and sellers in M&A transactions, including private equity firms, entrepreneurs and family businesses.

Henry advises organizations of all sizes in a broad range of corporate and business matters, including drafting and negotiating contracts, entity formation and structuring, and business ownership, control and management issues. In that role, Henry serves as outside general counsel and a trusted advisor for a number of business clients. He is focused on helping businesses at all stages, from formation and raising capital through an exit event or succession plan. He is also a member of the firm's Emerging Companies & Venture Capital team, which focuses on providing affordable legal services to start-ups, entrepreneurs, early-stage companies and other emerging businesses.

  • The seller of a regional facility services provider in a $115 million transaction.
  • A supplier of IP communications products and services in a sale to a publicly traded information technology company for approximately $75 million including earnout consideration.
  • A private equity fund in a series of acquisitions and divestitures of companies that provide specialty repair services to power plants and turbine operators.
  • A client in buying a group of fast food restaurants, then represented the same client in the ultimate sale of these restaurants to a national franchisee for $55 million.
  • A residential real estate developer in negotiating and documenting a $50 million joint venture with a hedge fund.
  • A West Coast trucking company in a $40 million sale to a publicly traded trucking company.
