Biography
Matthew provides critical strategic legal guidance to C-suite teams, investors, entrepreneurs and closely held companies in complex mergers and acquisitions to drive successful transactions and structures across borders and industries.
He is national Co-Chair of our Mergers & Acquisitions Practice Group and Chair of the Private Equity and Venture Capital Committee of the American Bar Association’s Business Law Section. In these roles, Matthew leads cross-functional teams, leverages relationships with investment banks, private equity and venture capital funds, and corporations across multiple sectors, as well as regularly publishes and presents on market-defining issues. His practice spans both private equity-backed and strategic transactions, with extensive experience in U.S. domestic deals as well as U.S. aspects of cross-border transactions in Canada, Western and Eastern Europe, the Middle East, Africa, South America and China.
Matthew runs deals from term sheet negotiation through closing and post-transaction integration. He remains engaged with clients at all points to maximize value and ensure purchased assets are successfully incorporated into operations. His transactional work serves clients in a range of industries, including health care, technology, software, manufacturing, professional services and consumer products.
Beyond his client work, Matthew is recognized for thought leadership on M&A, emerging markets, corporate ethics and governance, and crisis response and communications. He has presented at prominent forums including in Davos during the World Economic Forum, the JP Morgan Healthcare Conference, Yale SOM, and American Bar Association Business Law Section. He has been selected for seven consecutive years to the Chambers USA Guide as a leading corporate attorney for his transactional work with clients in the legal cannabis industry.* He is currently serving his third consecutive term as a member of Brown University’s President’s Advisory Council on Communications, and since 2020 has regularly volunteered as a Scientific Diver with the Wildlife Conservation Society.

Before Fox Rothschild
Prior to attending law school, Matthew worked as a research analyst at Harvard Business School and published several corporate case studies.
While in law school, he worked for an international trade company in Shanghai, China and also the New York State attorney general.
Beyond Fox Rothschild
Matthew is a leader in the American Bar Association’s Business Law Section, where he serves as Chair of the Private Equity and Venture Capital Committee. He was formerly the M&A Technology Subcommittee's Liaison to the Legal Analytics Committee.
He is active in New York's venture capital community as an attorney and angel investor, and has presented for and published with renowned venture capital educational and accelerator programs.
