Episode Six

A recent SCOTUS decision could upset well-settled law on the fundamental question of when a court may exercise jurisdiction over a corporate defendant. Ultimately, the decision enforced a Pennsylvania law requiring out-of-state companies that register to do business in the state to agree to appear in Pennsylvania courts on “any cause of action” against them. On this episode of In the Boardroom, Stephanie Resnick and John Fuller explore the short-term and long-term effects of the Mallory decision, and talk about what companies can do now to minimize exposure.

Episode Five

Stephanie and John discuss the broad topic of banks and banking and how corporate boards and officers should think about their banking options in light of the recent collapse of Silicon Valley Bank, and fears of the potential for similar collapses. They are joined by Chris Pippett, a Fox Rothschild partner who chairs the firm's Financial Services Industry Practice group, and frequently advises banks and other financial institutions on corporate governance issues.

Episode Four

With a recession looming, learn how and why communication with stakeholders can help companies minimize legal risks.

Episode Three

Episode three discusses why boards and officers need to be particularly thoughtful about the topics of diversity, equity, and inclusion, or DEI. Stephanie and John will explain how DEI presents a truly unique set of legal concerns because companies can be faulted both for doing too little or for doing too much.

Episode Two

Resnick and Fuller focus on the potential legal liabilities in the wake of the U.S. Supreme Court’s decision in Dobbs v. Jackson Women’s Health Organization. Together they discuss how the change in reproductive health law will impact company decisions on corporate culture and employee benefits, and the risks for directors and officers as they seek to adapt.

Episode One

Resnick and Fuller focus on two shareholder lawsuits that illustrate the impact of COVID on the responsibilities of board members and how the unprecedented disruptions brought on by the pandemic can be used against Directors and Officers.
