When it comes to buying, selling or otherwise combining companies, we possess the experience clients need to navigate the often-complex process. We have advised clients on transaction structuring, letters of intent, legal due diligence and the state and federal approval processes of such deals. We provide advice on corporate ownership, succession planning and contractual relationships, as well as necessary public notices and how to comply with public bidding requirements.

Our attorneys also have experience preparing affiliation agreements, asset and stock purchase agreements, operations transfer agreements and merger agreements. We know how to secure Certificate of Need (CON), licensure and other necessary approvals, including those pertaining to Medicare and Medicaid during changes of ownership.

We are well-versed in acquisitions, sales, leasing, financing, zoning, land use, construction and tax appeals, and also have experience with agreements of sale between exempt and for-profit companies.

  • Represented Emeritus Assisted Living in its acquisition of Summerville Senior Living for more than $230 million in common stock.
  • Represented Broadstep Behavioral Health, a provider in the IDD/behavioral health group home space, as the buyer in multiple acquisitions.
  • Represented Sacred Heart HealthCare System as outside general counsel and in connection with its acquisition by St. Luke’s University Health Network, which included a full anti-trust review by the FTC and the Pennsylvania Attorney General’s Office.
  • Represented St. Joseph’s Medical Center in connection with the divestiture of its inpatient psychiatric hospital and outpatient behavioral health services.
  • Represented CarePoint Health in connection with their purchase of three New Jersey hospitals to establish a new health system.
  • Represented sellers and buyers in the successful sales of assisted living facilities, negotiating purchase and sale documents while handling all necessary regulatory and licensing work.
  • Represented the family shareholders of a nursing and rehabilitation center in their sale to a financial buyer.
  • Negotiated the sale of six skilled nursing facilities with leases, as well as an agreement to purchase on a staggered basis a long-term care pharmacy.
  • Represented the largest post-acute care network in Central Pennsylvania in an asset sale transaction involving a nursing home and other ancillary health care businesses.
  • Represented a nursing facility and its related businesses in the sale of its assets to multiple buyers, negotiating and drafting the asset purchase agreements while also handling the transfer and termination of state licenses and coordinating closings.
  • Counseled clients on creative approaches for approval of projects involving the relocation and sale of skilled nursing facilities, skilled nursing beds and assisted living beds.
  • Prepared Asset Purchase Agreements and Operations Transfer Agreements and addressed regulatory and licensure issues that arose from the purchase and sale of skilled nursing facilities, hospices and home care agencies.
  • Provided regulatory counsel regarding the relationship between a hospital and a federally qualified community health center, as well as maintenance of primary care services following closure of the hospital facility.
  • Represented non-profit health care entities seeking to merge or affiliate with a for-profit entity on necessary steps to comply with public notice, public bidding and approval requirements, including obtaining outside consultant opinions on reasonableness when needed.
