Stephen devotes his practice to guiding clients through the company formation, mergers and acquisitions, venture capital and private equity transactions.

Drawing on more than three decades of experience in corporate law across New Jersey and New York, Stephen guides buyers and sellers through every phase of M&A deals, from initial structuring and due diligence through negotiation and closing. He also counsels companies on joint ventures, strategic investments, and domestic and international business combinations.

Stephen's transactional work extends to the formation and governance of business entities, including LLCs, partnerships, and corporations, and he regularly prepares and negotiates operating agreements, shareholder agreements, technology and intellectual property licenses, and product distribution arrangements. He has particular depth in advising companies in the facilities services, construction and technology industries, as well as venture capital investors, investment banks, medical practice groups, and entrepreneurs throughout the region. Stephen also assists companies with SEC reporting obligations and regulatory compliance, and he counsels foreign companies seeking to establish or grow operations in the United States.
