Biography

David's practice centers on corporate transactional law, with a focus on guiding emerging growth companies, fund sponsors and closely held businesses through every stage of the business lifecycle.

He advises founders, family offices, angel and venture funds, and high-net-worth individuals on entity formation, mergers and acquisitions, venture and private equity financings, fund formation and commercial contracting, often serving as outside general counsel. He also advises closely held businesses on mergers, acquisitions and the sale of their enterprise.

David brings a practical, business-minded approach to deal work, drawing on his own experience launching two startups to understand the pressures and priorities that growth-stage companies and investors face. On the mergers and acquisitions side, David has advised larger, mid-market companies on asset sales, roll-ups and strategic exits, as well as complex, multimillion-dollar merger transactions. He also negotiates a wide range of commercial agreements, including distribution and managed services arrangements, and supports high-net-worth individuals and closely held businesses with succession planning and governance.

On the venture capital and private equity side, David structures and raises capital for funds, family offices and accelerators, and guides companies through seed, angel and Series A, B and C financings. His client base spans agribusiness, natural foods, technology, healthcare and highly regulated industries such as cannabis and blockchain, with deep roots in Colorado's entrepreneurial ecosystem.

Before Fox Rothschild

Prior to joining the firm, David was a partner at a Denver-based national law firm, where he counseled entrepreneurs and investors on corporate transactions across the natural foods, agriculture, healthcare, technology and cannabis sectors. He previously practiced at a Boulder-based boutique law firm, where he served as fractional general counsel to emerging and growth companies, and began his career with the Blackstone Fellowship at the Blackstone Entrepreneurs Network and University of Colorado Law.

David was a mentor in the Canopy Boulder Accelerator program, advising and supporting participants between 2015 and 2020.
