Fox Rothschild Represents ESChat in Sale to JVCKENWOOD
A Fox Rothschild corporate deal team, led by Felix J. Kushnir and Marilyn W. Sonnie, represented ESChat, a California-based broadband push-to-talk (PTT) company serving North America, in its sale to JVCKENWOOD Corporation, a Japan-based communications and electronics company.
Following all required regulatory approvals, JVCKENWOOD completed its acquisition of 100% of ESChat’s shares, making ESChat a consolidated subsidiary under its brand.
ESChat’s platform enables secure PTT communication across wide-area networks, multimedia messaging and a common operating picture (COP) between agencies for mutual-aid and tactical purposes. The acquisition supports JVCKENWOOD’s business portfolio optimization strategy and marks its full-scale entry into the hybrid communications domain.
Ahead of the deal, JVCKENWOOD launched Viking Connect, a solution powered by ESChat technology and built into its Viking series of professional wireless radios for the North American market. JVCKENWOOD will continue integrating ESChat into its product and service portfolio, expand its lineup and broaden business opportunities as it enters the hybrid domain, with a particular focus on the North American public safety market.
According to a JVCKENWOOD press release, the impact of the acquisition on the company’s financial performance is already reflected in its consolidated earnings forecast for the fiscal year ending March 2027.
Kushnir and Sonnie were assisted on the deal by Nevena Simidjiyska, John G. Hodnette, Jonathan Dolgin, Jamal Wilson and William C. Schroeder.
