  • Represent Authentic Brands Group in connection with its exclusive partnership with 888 Holdings Plc to develop Sports Illustrated online sports betting and iGaming products in the United States, including regulatory approvals in New Jersey and other states.
  • Represented Hard Rock International in connection with its acquisition of Hard Rock Cincinnati, including handling all regulatory matters related to the transaction, licensing matters, appearances before the Ohio Casino Control Commission, and various regulatory and compliance matters.
  • Represented Hard Rock International in regulatory matters related to the sale of Hard Rock Casino to MGM. Prior to the transactions, handled licensing and regulatory matters before the Ohio Lottery Commission.
  • Rendered local New Jersey and gaming opinions to MGM Resorts International for the November 2021 closing of a $1.675 billion secured, revolving credit facility. The funding retired an existing line of credit and can be used for “working capital, capital expenditures and other lawful corporate purposes."
  • Represented Hard Rock International in a $1.075 billion cash deal to acquire the operations of The Mirage Hotel and Casino in Las Vegas from MGM Resorts International.
  • Assisted MGM Resorts International in obtaining Maryland regulatory approvals in its financing of MGM National Harbor, LLC, a new casino destination in Prince George's County, Maryland, a project valued at $1.3 billion.
  • Represented Churchill Downs, an industry-leading racing, gaming and online entertainment company and host of the world-famous Kentucky Derby, in obtaining regulatory approvals that secured the $407 million acquisition of Rivers Casino Des Plaines.
  • Assisted Amaya Inc./The Stars Group Inc. in its $4.9 billion all-cash acquisition of the Oldford Group Limited, owner and operator of PokerStars and Full Tilt Poker, which grew Amaya to become one of the world’s largest publicly traded online gaming company and created a global platform for its growth in the U.S. market.
  • Represented Ireland-based Paddy Power as New Jersey regulatory counsel in its multibillion-dollar merger with UK-based Betfair to create Paddy Power Betfair PLC, one of the world’s largest public online betting and gaming company.
  • Served as gaming regulatory and New Jersey counsel to MGM Resorts International in a series of complex transactions involving the Borgata Casino & Spa. MGM purchased the remaining 50 percent ownership stake from Boyd Gaming for $900 million, making it sole owner of the property. MGM then sold the real estate assets to MGM Growth Properties LLC, its newly created real estate investment trust, for nearly $1.18 billion. A subsidiary of MGM then leased the Borgata back from MGM Growth Properties LLC and operates the resort.
  • Represented Seminole HR Holdings, LLC (Hard Rock) in its acquisition of the former Trump Taj Mahal Casino in Atlantic City, New Jersey, and subsequently helped to obtain the casino license and operation certificate for the Hard Rock Hotel & Casino Atlantic City.
  • Represented MGM Resorts International as regulatory counsel in its purchase of the Empire City Casino, a 97-acre property in New York with a racetrack and video lottery facility, for approximately $850 million.
  • Represented playing card industry giant The United States Playing Company (USPC) with regulatory approvals in its sale to Cartamundi.
  • Represented Cummins Allison Corp., a prominent manufacturer of currency and coin handling systems, in its sale to national industrial products manufacturer Crane Co.
  • Represented The Stars Group in a $4.9 billion all-cash acquisition of the Oldford Group Limited, owner and operator of PokerStars and Full Tilt Poker. The transaction resulted in The Stars Group becoming the world’s largest publicly traded online gaming company and created a global platform for the company’s growth in the U.S. market.
